These terms and conditions (“Terms and Conditions“) may be updated by us from time to time without notice to you. We will post any changes to these Terms and Conditions on this page and we will also indicate at the top of this page the date that these Terms and Conditions were last revised. We will take reasonable steps to inform disabled users of any changes and the date of such changes to these Terms and Conditions.

Your continued use of the Services (as defined below) or the Website (as defined below) after any such changes constitutes your acceptance of the new Terms and Conditions. If you do not agree to abide by these or any new Terms and Conditions, do not use or access (or continue to use or access) the Services or the Websites. Use of your personal information

The information that you provide will be kept confidential and used to support the Ideas Foundation’s relationship with you.   Your details will be made available, as appropriate, to those officers of the Ideas Foundation who are responsible for the services that you request.

The information that you provide may be held and used by the Ideas Foundation for market analysis and production of internal reports, for marketing its services generally and (subject to any preference that you may indicate when submitting your details) for sending information to you about its activities, services and publications. The Ideas Foundation works to ensure that its data collection is aligned with the GDPR legislation introduced in 2018.

From time to time, the Ideas Foundation/ may invite visitors to the website to provide data to improve the site, or its services or marketing. Answering any questions will be optional.

Some events listed on the Ideas Foundation website are organised in co-operation with other organisations. When you register for an event, it will be made clear to you to which of the partner organisations your registration is being submitted.  We cannot take responsibility for other organisations changing the details of the events that they have posted.

Otherwise, except for the purposes of law enforcement, regulation or legal proceedings, or with your explicit permission, the Ideas Foundation will not give or sell its contacts’ personal information to third parties.

Eligibility and supervising children

Certain aspects of the Services may require you to register and provide information about yourself. You agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the relevant registration form (such information being the “Registration Data") and (b) maintain and promptly update the Registration Data (by using the appropriate forms on our Websites or emailing us at ideas@ideasfoundation.org.uk to keep it true, accurate, current and complete. We may terminate your account and any or all rights to the Websites, Services or licences granted if any information you provide is inaccurate, false, or incomplete.

The Ideas Foundation is concerned about the safety and privacy of all its users, particularly children. Certain features of the Service may be subject to heightened age and/or other eligibility requirements and restrictions. If you are a user under the age of 18, please review these Terms and Conditions with your parent or guardian. Your parent or guardian should agree to these Terms and Conditions on your behalf and parental discretion is advised for all users under the age of 18. For this reason, parents or teachers who wish to allow their children or pupils access to the Services should assist them in setting up any relevant accounts and supervise their access to the Services. By allowing your child access to the Services, he/she may be able to access various services including forums and social media streams. As you will see below, the Ideas Foundation generally does not pre-screen content posted to these pages of the Website and, as the legal guardian, it is therefore your responsibility to determine whether any of the Services and/or content are appropriate for your child or pupil.

If you use any Services on behalf of an Institution or a company, you hereby represent, warrant and undertake that:

• you have all necessary power and authority to enter into and perform your and its obligations under these Terms and Conditions;
• you have taken all requisite corporate and other action to approve the entering into and performance of these Terms and Conditions and shall provide evidence of that action to the Ideas Foundation on request; and
• once agreed and accepted, these Terms and Conditions will constitute legal, valid and binding obligations of and on such Institution or company. An “Institution” means any educational establishment that provides teaching and learning curriculum as its core functional remit and existence such as, without limitation, schools, Local Authorities, School Groups, FE Colleges and HE universities that have chosen to use the Services brought to you by the Ideas Foundation.

Accounts, passwords and security

The Internet is not a secure medium. However, the Ideas Foundation will endeavour to protect all personal information collected through the Website in accordance with appropriate data protection standards.

The registration processes on the Websites may involve you giving a password and account designation. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify the Ideas Foundation of any unauthorised use of your password or account and any other breach of security, and (b) ensure that you exit from your account at the end of each session. The Ideas Foundation cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.

Use of site

This site, its content or any portion of this site or its content may not be reproduced, retransmitted, duplicated, copied, distributed, disseminated, sold, resold, or otherwise exploited for any commercial purpose that is not expressly permitted by the Ideas Foundation. The Ideas Foundation/ and suppliers reserve the right to refuse service, and/or cancel orders in their discretion, including, without limitation, if the Ideas Foundation believes that a user’s conduct violates applicable law or is harmful to the interests of the Ideas Foundation, its affiliates, suppliers or users. No person may post on, transmit through or otherwise make available on the website (i) any material that violates or infringes the rights of others, that is unlawful, defamatory, obscene, abusive, profane, vulgar, sexually explicit, racist, threatening, hateful or otherwise objectionable or that encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any law, (ii) any copyrighted material, without the express written consent of the owner thereof, (iii) any advertising or other solicitation with respect to products or services without the express prior written consent of the Ideas Foundation/, or (iv) any information or software that contains a virus, worm, or other harmful or disruptive component.

The Ideas Foundation/ is under no obligation to permit any material that you post or transmit to remain on the site, and, the Ideas Foundation/, in its sole discretion, may refuse to display or may remove any material posted on or transmitted to or through its website.

Special warning for international use

The Websites are designed to be compliant with applicable UK laws and regulations and are intended for use only by users resident in the United Kingdom. Due to the global nature of the Internet, users from all over the world may have access to the Websites. If you are resident in a country outside of the UK you use the Websites at your own risk.

Ideas Foundation/ copyright

All content included on the website, such as text, graphics, logos, button icons, images, audio clips, and software, is the property of the Ideas Foundation or its content suppliers and is protected by UK and international copyright laws. The compilation (meaning the collection, arrangement, and assembly) of all content on the Ideas Foundation website is the exclusive property of the Ideas Foundation and is protected by UK and international copyright laws. All software used on the Space to Earth Website is the property of the Ideas Foundation or its software suppliers and is protected by UK and international copyright laws.

Termination

Because the Ideas Foundation has no control over these sites and resources, you acknowledge and agree that the Ideas Foundation is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. The Ideas Foundation grants you a personal, non-transferable and non-exclusive right and licence to use the Websites and the Services for their intended purpose subject to your compliance with these Terms and Conditions. This licence does not include the right to collect or use information contained on the Websites for any purpose not specifically listed in these Terms and Conditions, to compete with the Ideas Foundation, to create derivative works based on the content of the Websites, or download or copy the Websites (other than page caching). Confidential Information

You acknowledge that any Confidential Information (as defined in the next paragraph below) which you obtain by entering into these Terms and Conditions and the use of the Services constitutes the valuable, confidential, proprietary information of the Ideas Foundation and its licensors, and you agree that during the term of your use of the Services and thereafter you shall not, without our express written consent, use or disclose to any other person any such Confidential Information, except as specifically authorised under these Terms and Conditions or as required by applicable law.

For the purposes of these Terms and Conditions, “Confidential Information” means any and all data, information, documents, software or materials relating to the business and management of the Ideas Foundation, its users and members, Affiliates, licensors and/or licensees that is designated as confidential or ought reasonably to be considered confidential, including but not limited to: their business model and operations, processes, products, designs, pricing, promotions, business plans, business opportunities, finances, research, development, know-how, trade-secrets, training materials, personnel, clients, methodologies, Website content belonging to others and other intellectual property.

Limitations of Liability

You expressly acknowledge and agree that the Ideas Foundation shall not be liable for any indirect, incidental, special, consequential or exemplary damages, nor for direct or indirect loss of profits revenue, business, anticipated savings, goodwill, opportunity.

Nothing in these Terms and Conditions shall affect the statutory rights of any consumer or exclude or restrict any liability for fraud or for death or personal injury arising from the negligence of the Ideas Foundation.

Events outside of our control

The Ideas Foundation will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms and Conditions or any related contract between us that is caused by any act, event, non-happening, omission or accident beyond our reasonable control (“Force Majeure Event“), including (without limitation) the following:

• strikes, lock-outs or other industrial action;
• civil commotion, riot, invasion, cyber-attack, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
• fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
• impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
• interruption or failure of utility service; including the impossibility of the use of public or private telecommunications networks; and/or
• the acts, decrees, legislation, regulations or restrictions of any government.

The Ideas Foundation’s performance under any Terms and Conditions or any related contract between us is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance during that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Terms and Conditions or any related contract between us may be performed despite the Force Majeure Event.

Notice and disclaimer regarding email

E-mail is not a 100% virus-free or a secure medium. Any e-mail message from the Ideas Foundation, including any attachments transmitted with it, may contain legally privileged or private information. such messages are intended solely for the use of the individual or entity to whom it is addressed. If you have received such a message in error, please notify the sender and delete it from your system. You should not copy, store or use such an email or any attachment(s) for any purpose, nor disclose their contents to any other person.

Whilst the Ideas Foundation scans all communications for viruses or other malicious software, we do not guarantee that any message is virus-free and accept no liability for any potential loss or damage that may arise as a result of receiving, storing and reading any message and any attachment(s). It is your responsibility to ensure that viruses do not adversely affect your system and that your messages to us meet your own security requirements. We reserve the right to read any e-mail or attachment entering or leaving our systems without notice.

Content objections

If you object to the publication of any material including User-Uploaded Content made available through our Websites or Services, either because it is offensive or you think it might infringe your intellectual property rights or it is prohibited content, please let us know by contacting us on ideas@ideasfoundation.org.uk Examples of the types of abuse or other objectionable material including User-Uploaded Content include discrimination (for example based on race, religious belief or sexuality), classifiable content, offensive language or user-targeted attacks (such as harassment and bullying). This is the fastest way to notify us and will provide a direct link to the post/message in question.

In order to protect you, the Ideas Foundation operates a notice and take down system.

If you object to anything anywhere else on this Website, please let us know by sending an email explaining your concern to ideas@ideasfoundation.org.uk and we will take whatever action we deem appropriate.

General information

These Terms and Conditions (including the Privacy Policy and any additional terms, guides and rules referred to herein, including the Additional Terms in respect of any specific Services) constitute the entire agreement between you and the Ideas Foundation and govern your use of the Services, superseding any prior agreements between you and the Ideas Foundation. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. These Terms and Conditions represent a contract between you and the Ideas Foundation, they (and any dispute or claim arising in connection with them or their subject matter or formation) shall be governed by and interpreted in accordance with the law of England and Wales, and we and you both irrevocably agree that (save as otherwise expressly provided in any of our Additional Terms and/or our take-down policy) any dispute or claim arising between you and us shall be adjudicated exclusively by the Courts of England and Wales, save that we may enforce any judgment of such Courts, where required, in courts in any other jurisdiction in which you are located. Any term or terms which may be deemed unenforceable or unlawful and fall to be struck out, or otherwise disregarded by a court shall be done so without prejudice to the rest of the agreement. The parties agree that in interpreting a clause and/or the whole agreement the court should take these terms as the most authoritative statement of the intentions of the parties notwithstanding any such strikeout, and that the court should endeavour to give effect to the parties’ intentions as reflected herein. Any failure by the Ideas Foundation to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. References to the words “include” and “including” shall be interpreted as without limitation, irrespective of whether certain instances of those words expressly state “without limitation” and other instances do not.

Safeguarding Policy

INTRODUCTION

The safeguarding of children, young people and vulnerable adults from harm and abuse is an absolute priority for the Ideas Foundation, its staff, trustees and volunteers.  This policy outlines our commitment to, and recognition of, responsibility for the protection of any individual with whom we work who may be vulnerable.

This policy outlines the Ideas Foundation approach to reporting suspected abuse.

We will endeavour to safeguard all individuals with whom we work by:

• adopting a code of behaviour for staff and volunteers,
• sharing information about child protection and good practice with clients, staff and volunteers,
• sharing information about concerns with agencies (eg Social Care/Local Police) that need to know.
• following carefully a procedure for recruitment and selection of staff and volunteers working in our projects,
• ensuring all staff and contractors working directly with young people have up to date DBS checks, and
• providing effective management for staff, trustees and volunteers through supervision, support and training through once a year training for staff and a requirement that staff complete the NSPCC online course once a year.
• Reporting back to the Board once a year on the number and nature of incidents including a nil report, the training undertaken but with an immediate report back to the Chair on any issue that has significant impact .

What is abuse

 “Abuse is a violation of an individual’s human and social rights by any other person or persons”

Reporting Abuse

1. If staff suspect that an individual with whom we are working is being abused or is at risk of abuse, they are expected to report concerns to a line manager (unless they suspect that the line manager is implicated – in such circumstances the whistle blowing policy should be followed.)
2. If at any time staff feel the person needs urgent medical assistance, they have a duty to call for an ambulance or arrange for a doctor to see the person at the earliest opportunity.
3. If at the time staff have reason to believe the vulnerable person is in immediate and serious risk of harm or that a crime has been committed the police must be called.

SAFEGUARDING GUIDELINES

The Ideas Foundation recognises that staff and volunteers may also be vulnerable in their work with children and young people.  The following guidelines aim to provide advice and guidance to help protect both clients, staff and volunteers who may be vulnerable to suspected allegations:

• All work with students should take place as openly as possible. If privacy is needed, other staff members should be informed of the meeting.
• When conducting workshops staff should ensure that contact with young people should take place as openly as possible.
• Any member of staff who feels uncomfortable in any situation should raise this with their line manager.
• Staff and volunteers should not meet with young people outside organised work activities /time unless it is with the knowledge and consent of the person in charge of the organisation.
• Any person who has found him or herself in a potentially vulnerable situation should report the circumstances to their line manager immediately.

SCOPE OF THE POLICY

Safeguarding is the responsibility of everyone in the organisation and there is no trustee, manager, practitioner, administrator or volunteer who falls outside the scope of this policy. In whatever role, in whatever actions taken, in whatever decisions made, each person has the responsibility to make safeguarding his or her priority.

This priority will also be reflected in the Ideas Foundation governance and organisational structure, in our strategy and plans, our decision making processes and our priorities. It will be embodied in our policies and procedures, our professional and work practice and in our direct work with vulnerable adults.

This safeguarding priority will also be reflected in our partnership arrangements and in our work with other organisations.

The Ideas Foundation understands safeguarding to include, but not be limited to children, young people and vulnerable adults. The scope of this safeguarding policy includes:

• The safe recruitment of staff and volunteers
• Staff and volunteer supervision, appraisal, learning and development
• Performance management
• Equality of opportunity in employment and service delivery
• Valuing diversity
• The personal conduct and professional actions of staff and volunteers
• Allegations against staff and volunteers

We recognise that all policies may have a safeguarding impact, and all contribute to the safeguarding of those with whom we work.

The Trustee with responsibility for safeguarding policy and the organisations Lead for Safeguarding is Jenny Wilkins.

ALLEGATION OF ABUSE AGAINST STAFF MEMBER

Employees should be aware that abuse is a serious matter that can lead to a criminal conviction.  Where applicable Ideas Foundation disciplinary policy should be implemented.

CONFIDENTIALITY AND INFORMATION SHARING

‘No Secrets’ [DH 2000] states that the government expects organisations to share information about individuals who may be at risk from abuse. It is important to identify an abusive situation as early as possible so that the individual can be protected. Withholding information may lead to abuse not being dealt with in a timely manner. Confidentiality must never be confused with secrecy.  Staff have a duty to share information relating to suspected abuse with Social Care and local Police.

Consent is not required to breach confidentiality (capacity issues must be considered) and make a safeguarding referral where:

• A serious crime has been committed
• Where the alleged perpetrator may go on to abuse others
• Other children or young people are at risk in some way
• The individual concerned is deemed to be in serious risk
• There is a statutory requirement e.g. Children’s Act 1989, Mental Health Act 1983, Care Standards Act 2000
• The public interest overrides the interest of the individual
• When a member of staff of a statutory service, a private or voluntary service or a volunteer is the person accused of abuse, malpractice or poor professional standards.

If a worker has any doubt about the legality of sharing information, they must in the first instance consult their manager.

We will seek to ensure that we meet best practice in the new GDPR regulations.
